Borderline Unique Webstore and Affiliated Store Terms

Effective date: August 8, 2026

These Webstore and Affiliated Store Terms (“Terms”) explain the rules for requesting, accessing, managing, promoting, or participating in a webstore operated through Borderline Unique. In these Terms, “Borderline Unique,” “we,” “us,” and “our” mean Borderline Unique, located in Wauseon, Ohio. “Store Owner,” “you,” and “your” mean the person or organization approved to access, manage, or promote a store.

By requesting a store, accepting store access, managing or promoting a store, or checking the acceptance box presented during registration or onboarding, you agree to these Terms. If you accept for an organization, you represent that you are authorized to bind that organization.

Term

Meaning

An approved online storefront connected to Borderline Unique’s products, decoration, payment, production, shipping, and fulfillment services.

Affiliated Store

A webstore that Borderline Unique has approved and linked to another approved store for referral or organizational purposes.

Parent Store

A store that Borderline Unique has approved to receive a separate referral commission from eligible sales through a directly assigned Affiliated Store.

Store Owner

The individual or organization approved to access, manage, or promote a Webstore or Affiliated Store.

A retail buyer who purchases products through a store.

Commission

An approved amount that a Store Owner may earn from eligible store sales under written store-specific terms.

2. Program Approval and Borderline Unique’s Role

All Webstores and Affiliated Stores require Borderline Unique’s approval. Approval is discretionary and may depend on production capabilities, product availability, artwork rights, pricing, account information, program fit, platform requirements, and applicable law.

Borderline Unique is the fulfillment provider. We control system-wide and operational matters including the core product catalog, decoration methods, wholesale and base pricing, payment processing, order production, shipping configuration, refunds, replacements, chargebacks, and customer-service decisions.

A Store Owner may receive permission to customize certain approved store content, appearance, products, artwork, pages, markup, access settings, or domain settings. Available options depend on the permissions assigned to that store. Administrative access does not give a Store Owner authority to change Borderline Unique’s system-wide settings or bind Borderline Unique to a promise or agreement.

3. Eligibility, Account Information, and Security

You must be at least eighteen years old and legally able to accept these Terms, or act through an authorized adult or organization representative. You must provide accurate and current information, verify the store-owner email address, and maintain a secure password.

You are responsible for activity performed through your account. You may not share credentials with unauthorized persons, access another store without permission, interfere with the platform, or use customer information for an unrelated purpose. Notify Borderline Unique promptly if an account may have been compromised or an authorized contact leaves your organization.

Some store contact information may appear on the storefront or in customer communications. Do not enter private information you do not want displayed. Contact Borderline Unique if you are unsure which information is visible.

4. Store Setup, Self-Build Access, and Requested Changes

Depending on assigned permissions, a Store Owner may build or customize a store from an approved template or ask Borderline Unique for setup assistance. Borderline Unique may review, revise, approve, reject, or restore store settings when needed for pricing accuracy, production, customer experience, legal compliance, platform operation, or these Terms.

You must receive Borderline Unique’s approval before making or promising a change involving:

Approval required

Examples

Pricing or earnings

Markup, retail prices, fundraiser percentages, commission statements, discounts, or fees

Products or artwork

Garment styles, colors, decoration locations, logos, personalization, or new designs

Checkout or delivery

Payment methods, pickup, shipping, taxes, turnaround times, event dates, or delivery promises

Customer policies

Returns, refunds, cancellations, replacements, warranties, guarantees, or exceptions

Store identity or access

Store name, URL, custom domain, password protection, ownership, major rebranding, suspension, or closing date

A change to markup or pricing may change the Customer’s price and the Store Owner’s earnings. Borderline Unique may correct an unauthorized or accidental pricing change and may pause affected products or orders while an issue is reviewed.

If a custom domain is used, the domain owner remains responsible for ownership, renewal, registrar charges, and accurate account information. Borderline Unique may request delegated access or specific DNS changes. Do not send us a domain-account password. Domain and DNS changes may take time to become active and may affect an existing website or email if records are changed incorrectly.

5. Artwork, Logos, Branding, and Permissions

You represent that you own, control, or have permission to use every name, logo, trademark, photograph, design, slogan, roster, mascot, brand identifier, and other item you provide or request us to use.

You grant Borderline Unique a nonexclusive, royalty-free license to reproduce, resize, modify as technically necessary, display, market, print, embroider, and otherwise use approved submitted material solely to create, operate, promote, produce, and fulfill the store and its orders.

Borderline Unique may require written authorization, licensing documentation, or confirmation from a rights holder. Failure to provide satisfactory proof may result in rejection, removal, suspension, cancellation, or store closure. You must notify us promptly if authorization expires or is withdrawn. Removing an item from a storefront may not stop an order that has already entered production.

6. Acceptable Store Content and Conduct

Borderline Unique is not required to create, host, publish, print, fulfill, or continue operating any store, product, artwork, listing, promotion, or other content. We may decline a request, require revisions, remove or disable content, pause production, suspend access, or close a store when content or activity violates these Terms, applicable law, third-party rights, payment or platform requirements, or Borderline Unique’s business standards.

Prohibited or restricted content includes, without limitation:

Category

Examples

Illegal, deceptive, or harmful activity

Content promoting unlawful conduct, fraud, scams, exploitation, or unsafe activity

Hateful, discriminatory, or harassing content

Language or imagery that attacks, degrades, threatens, or promotes hatred, discrimination, harassment, or abuse toward a person or group

Threats and violence

Credible threats, encouragement of violence or abuse, graphic or gratuitous gore, or content that celebrates harm; ordinary lawful sports imagery is not prohibited merely because it depicts athletic competition

Nudity and sexual content

Nudity, pornography, sexually explicit or exploitative material, or sexual content involving or directed toward minors

Obscene or abusive language

Obscene, excessively vulgar, lewd, threatening, or abusive wording or imagery that is unsuitable for the intended audience or inconsistent with our business standards

Intellectual-property or branding violations

Unauthorized use of copyrighted artwork, photographs, characters, lyrics, trademarks, school or team marks, business names, logos, mascots, or other protected material

False affiliation or endorsement

Content that falsely suggests approval, sponsorship, partnership, licensing, or affiliation with a person, school, team, company, brand, or organization

Privacy or publicity violations

Unauthorized use of a person’s name, image, likeness, private information, or other protected personal material

These examples are illustrative and are not exhaustive. We may consider context, intended audience, severity, customer safety, third-party rights, and reputational risk. When practical, we may request revisions. Immediate action may be taken when needed to protect Customers, minors, rights holders, payment systems, Borderline Unique, or the public.

7. Customer Payments and Sensitive Information

Customers use the payment methods provided through the store checkout. A Store Owner normally does not connect a separate payment gateway or personal credit card to accept Customer orders.

Borderline Unique controls payment capture, refunds, disputes, chargebacks, and related payment-processing decisions. Store Owners must not collect or ask Customers to send card numbers, security codes, PayPal passwords, banking passwords, or other private payment credentials.

8. Direct Commission and Shared Revenue

A store includes Commission, fundraising proceeds, or shared revenue only when Borderline Unique confirms the rate or amount in writing. A requested rate is not active until Borderline Unique approves it and applies the approved settings to the store.

Payout item

Program rule

Calculation

Earnings are calculated under the store’s approved pricing and Commission settings. Taxes, shipping, rush charges, artwork charges, refunds, chargebacks, and other noncommissionable amounts may be excluded.

Status

Commission may be held while an order is produced and shipped. It becomes eligible only after the order clears under the applicable delivery and payment process.

Schedule

Eligible cleared Commission is automatically included in the next monthly payment cycle on the first day of the month.

Payout account

The Store Owner enters and maintains an accurate PayPal Business email inside the webstore account. Borderline Unique does not collect the PayPal email through the Commission Rate Form.

Minimum threshold

No minimum payout threshold is currently applied to automatic cleared payouts.

Processing fee

The current Commission processing fee is 0%. If a fee is introduced later, written notice will be provided before it becomes effective.

Adjustments

Canceled, returned, refunded, disputed, unpaid, fraudulent, charged-back, or corrected orders may reduce, eliminate, or reverse related earnings.

Taxes

The Store Owner is responsible for its accounting and tax obligations. Borderline Unique may request information or issue tax forms when required.

A Store Owner must review Commission information promptly and report a suspected discrepancy within thirty days after the related statement or payment. This review period does not waive any right that cannot lawfully be waived.

9. Affiliated Stores and Referral Commission

An Affiliated Store does not automatically create a referral payment. Borderline Unique must approve the relationship, assign the Parent Store, activate a referral rate, and confirm the terms in writing.

Referral Commission is available only for a legitimate approved relationship. No referral Commission is earned merely by creating or registering a store. Eligible referral Commission requires legitimate cleared sales and compliance with these Terms and any store-specific written terms.

Self-referrals and artificial arrangements are prohibited. This includes creating or controlling duplicate, alias, sham, commonly owned, or related-party stores primarily to obtain additional Commission; providing false or misleading ownership or contact information; improperly claiming an existing client as a new referral; or coordinating purchases, cancellations, returns, refunds, or chargebacks to generate Commission without legitimate new business.

Borderline Unique may review referral relationships and related transactions. When reasonably supported by the records, we may withhold, deny, reverse, or correct referral Commission arising from duplicate or undisclosed common ownership, self-referral, refunds, cancellations, chargebacks, failed or fraudulent payments, mistaken attribution, misleading information, violations of these Terms, or other abuse.

If an affected amount has already been paid, Borderline Unique may deduct it from future Commission or request repayment to the extent permitted by law and the applicable payment terms. We may suspend or terminate a referral relationship or Affiliated Store while suspected abuse is reviewed.

Unless otherwise approved in writing, referral Commission applies only to a directly assigned Affiliated Store and does not create an automatic multilevel or cascading payment right.

10. Orders, Production, Returns, and Customer Service

Borderline Unique controls production, order changes, cancellations, refunds, replacements, shipping decisions, and payment disputes. Customers should contact Borderline Unique directly about an order, change, cancellation, return, replacement, shipping concern, or payment issue and should provide the store name and order number.

A Store Owner may help a Customer identify the store or order number but may not promise a refund, replacement, delivery date, production change, warranty, guarantee, or policy exception without Borderline Unique’s written approval.

Orders are also governed by the product information, checkout terms, and return or refund policy displayed or linked for the Customer before purchase. A Store Owner must not publish or communicate a conflicting policy.

11. Customer Information and Confidentiality

A Store Owner may receive limited access to store orders, Customer information, order status, financial information, or Commission information for legitimate store administration.

Customer information must be kept confidential, protected from unauthorized access, and used only for an approved store purpose. A Store Owner may not sell, publish, disclose, copy, or use Customer information for unrelated marketing or another purpose without lawful permission.

12. Promotion and Commission Disclosure

Store promotion must be truthful and must accurately describe products, prices, deadlines, availability, and the Store Owner’s relationship with Borderline Unique. You may not advertise an unapproved Commission rate, fundraiser amount, discount, delivery promise, guarantee, or Customer benefit.

When you may receive Commission, shared revenue, fundraising proceeds, free products, discounts, or another benefit from purchases, clearly disclose that relationship wherever you promote or endorse the store. A suitable disclosure is:

“Our organization may earn Commission or fundraising proceeds from purchases made through this webstore.”

Place the disclosure close to the store link or recommendation where a Customer can easily notice and understand it.

13. Store Availability, Changes, Suspension, and Closure

Borderline Unique may modify products, colors, sizes, prices, decoration options, shipping methods, payment methods, platform features, or these Terms when reasonably necessary. Product and supplier availability is not guaranteed.

We may temporarily suspend or permanently close a store for inactivity, a completed campaign, nonpayment, security concerns, intellectual-property concerns, misuse of Customer information, unacceptable content, program abuse, violation of these Terms, platform limitations, unlawful conduct, or business reasons.

When practical, we may provide notice and an opportunity to correct a nonurgent issue. Immediate action may be taken when needed to protect Customers, minors, rights holders, payment systems, Borderline Unique, or the public.

Closing a storefront does not cancel obligations relating to existing orders, Customer service, refunds, chargebacks, confidentiality, intellectual property, Commission adjustments, repayment, or other provisions that should reasonably continue after closure.

14. Independent Relationship and No Guaranteed Results

The Store Owner is an independent program participant and is not an employee, agent, legal representative, joint venturer, franchisee, or partner of Borderline Unique. A Store Owner has no authority to sign an agreement, incur an obligation, collect payment, make a guarantee, or otherwise bind Borderline Unique.

Borderline Unique does not guarantee visitors, orders, sales, Commission, fundraising proceeds, or a particular business result. Results may depend on promotion, product selection, pricing, seasonality, audience interest, and Customer demand.

15. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the store and related administrative access are provided on an “as available” basis. Borderline Unique does not guarantee uninterrupted access, error-free operation, continuous product availability, or a particular sales result.

To the fullest extent permitted by law, Borderline Unique will not be liable to a Store Owner for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost fundraising expectations, lost data, reputational harm, or business interruption arising from the store or program.

To the fullest extent permitted by law, Borderline Unique’s aggregate liability to a Store Owner relating to the program will not exceed the unpaid Commission or shared revenue properly due to that Store Owner for the six months immediately preceding the event giving rise to the claim.

These limitations do not exclude liability or remedies that cannot lawfully be excluded or limited and do not alter a retail Customer’s nonwaivable rights under applicable law.

16. Indemnification

To the fullest extent permitted by law, the Store Owner agrees to defend, indemnify, and hold harmless Borderline Unique and its owners, employees, and service providers from third-party claims, losses, liabilities, costs, and reasonable attorney fees arising from the Store Owner’s submitted content, infringement of intellectual-property or privacy rights, unauthorized promises or representations, unlawful promotion, misuse of Customer information, account misuse, or material breach of these Terms.

This provision does not require the Store Owner to indemnify Borderline Unique for claims caused solely by Borderline Unique’s gross negligence or willful misconduct to the extent such a limitation is required by law.

17. Notices and Changes to These Terms

Borderline Unique may provide program notices through the account email, administrative interface, or contact information provided by the Store Owner. You are responsible for keeping that information current.

We may revise these Terms prospectively by posting an updated effective date. A material change may require renewed acceptance. A change will not retroactively reduce Commission already earned on a completed eligible order unless an adjustment is required for a refund, dispute, fraud, error, repayment obligation, or applicable law.

18. Governing Law and Severability

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where federal law applies.

If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Nothing in these Terms waives a right or remedy that cannot legally be waived.

19. Entire Understanding and Store-Specific Terms

These Terms, together with any written store-specific proposal, Commission Rate Form, referral approval, artwork approval, Customer-facing policy, or other document expressly incorporated by reference, form the understanding regarding participation in the program.

If a written store-specific term conflicts with these general Terms, the store-specific term controls only for that store and only to the extent of the conflict.

A waiver is effective only if made in writing by Borderline Unique. Failure to enforce a provision on one occasion is not a continuing waiver.

20. Electronic Acceptance

Electronic acceptance has the same intended effect as signing a paper copy. Before a store is activated or administrative access is issued, the Store Owner may be required to affirmatively accept these Terms through an unchecked checkbox, electronic form, email confirmation, or signed document.

The acceptance record may include the Store Owner’s name, organization, email, date and time, store identifier, accepted version or effective date, and other information reasonably needed to document acceptance under the applicable privacy policy.

21. Contact

Questions, requested changes, Customer issues, artwork permissions, suspected account misuse, and store-closure requests should be sent to Borderline Unique using the current contact information published on our main website.

Include the store name and, for order questions, the order number.
